Business changes

We assist our clients with the changes of company legal information, such as the change of legal representative, capital increment, expansion of business scope, etc. Should the time come when there are changes to your company’s circumstances, Brighture will be here to assist you in such matters as:

We can help file a notice on the Approval of Registration Cancellation (if a branch company is to be cancelled); and file a notice on the Pre-approval of New Names (if a branch company is to be renamed).

We will help you to submit the relevant documents to the respective authorities and follow up by obtaining the renewal certificates and delivering them to you.

Business Cancellation/ Termination

Dependent on the nature of the business cancellation, the timescale for the closure, dissolution and liquidation of WFOE and JV is roughly four to nine months.

 

We will assist in the de-registration of the company as necessary with all the relevant government authorities, such as the Ministry of Commerce, State Administration of Foreign Exchange (SAFE), State Administration of Industry and Commerce (SAIC), customs administration and tax authorities. We will help gather and prepare all the necessary documents, e.g. tax certificate issued by the tax authority; original and counterpart of business license; application for business cancellation signed by the liquidation group leader; certificate of authorized representative stating the work content; a signed copy of identity card of the authorized representative; etc. We will subsequently file an application for business cancellation and confirmation notice. Other documents can also include: company’s cancellation decision and reason, court ruling, administrative decree or the registration authority’s decision on revocation of business license for violation of the Registration Regulations.

Meanwhile, in addition to liquidation and business de-registration, we can assist with corporate strategy, annual inspections, and the preparation of a series of documents required by the government for special approval.
