Capital Verification

Capital verification reports are required in a number of circumstances including when a company is initially established, when capital is increased or decreased, when there is a change in shareholders, and when the company is part of a merger or acquisition.

Our company will prepare the necessary documents for amendment and evaluation by the institutions, including but not limited to; the Administration for Commerce and Industry, Tax Bureau, Administration and Customs, Administration of Foreign Exchange.

Among the documents to be reviewed:

Internal company payment records;Bank confirmation documents;Confirmation from the State Administration of Foreign Exchange (SAFE);Approval letter from the Commerce Bureau;The company’s Articles of Association; The company’s business license.

After thorough review of these documents, we will then issue the “capital verification report”. The report also serves as important document during the annual examination as well as when capital contribution certificates are issued to investors or shareholders.

As a legally established capital verification institution, Brighture will assist with:

the Articles of Association; application of company registration; capital verification report;other documents;analyzing your equity interests that are to be used as capital contributions.

Changes in registered capital

In accordance with Chinese business laws, the change in a company’s registered capital shall be verified anew.

A company is required to declare any increases or decreases in its registered capital and consequently obtain a new Business Registration Certificate.

The company will be issued with a new capital verification certificate and required to amend its articles of association.

We are able to provide this service and provide a new capital verification certificate as well as amend the articles of association. We will assist in the creation of a temporary capital account, and changes in business license, tax registration and customs registration.
