RO (Representative Office)

The first possibility of how a foreign company can establish itself in China is through the establishment of a Representative Office (RO). A Representative Office is an office of a foreign enterprise which has been established to liaise with Chinese businesses and clients on behalf of its parent company.

In contrast to WFOEs, ROs are not required to meet stringent regulations such as the prerequisite of registered capital. In this way the simplicity and short period needed for establishing ROs is one of their advantages and reason for its popularity.

It is of key importance to note that a Representative Office is not a separate legal entity rather it is an extension of its parent enterprise. A Representative Office may only engage in non-profit making activities.
