RO (Representative Office)

Integrity, Efficiency, Professionalism

The first possibility of how a foreign company can establish itself in China is through the establishment of a Representative Office (RO). A Representative Office is an office of a foreign enterprise which has been established to liaise with Chinese businesses and clients on behalf of its parent company.

We will help you with:

the application process by reviewing the necessary documents and assembling a case the renewal of licenses the registration with banks, public security bureaus and tax authorities the legal hiring of employees

In contrast to WFOEs, ROs are not required to meet stringent regulations such as the prerequisite of registered capital. In this way the simplicity and short period needed for establishing ROs is one of their advantages and reason for its popularity.

It is of key importance to note that a Representative Office is not a separate legal entity rather it is an extension of its parent enterprise. A Representative Office may only engage in non-profit making activities.

Representative Offices can carry out the following functions:

Conduct research and surveys for its parent enterprise in the local marketLiaise with local and foreign contacts in China on behalf of the parent enterpriseConduct research and provide data and promotional materials to potential clients or trading partnersAct as a coordinator for the parent enterprise’s activities in ChinaMake travel arrangements for parent enterprise representatives and potential Chinese clients

Under no circumstances may a Representative Office do the following:

Directly engage in any business for profitSign contracts or deals on behalf of the parent enterpriseRepresent any firm other than its parent enterpriseCollect money or issue invoice within China for services or productsBuy property or import production equipment
